AGGIORNAMENTO TITOLARE EFFETTIVO


L?"art. 21 del D.Lgs. 231/2007 prevede che le imprese dotate di personalità giuridica, e quindi dotate di autonomia patrimoniale perfetta tenute alla iscrizione al Registro delle imprese ex art. 2188 c.c., nonché le persone giuridiche private diverse dalle imprese, hanno l?"obbligo di comunicare, per via esclusivamente telematica le informazioni attinenti alla propria titolarità effettiva, ai fini della conservazione di tali informazioni in apposita sezione. Con le ordinanze pubblicate il 17.5.2024, il Consiglio di Stato ha accolto le richieste cautelari presentate da diverse associazioni fiduciarie contro le sentenze del TAR del 9.4.2024, sospendendone l?"esecutività dell?"obbligo di comunicazione del Titolare Effettivo. In particolare risultano sospesi: l?"azione sanzionatoria (articolo 4, comma 2 del decreto 11 marzo 2022 n. 55) essendo stato sospeso il termine per la presentazione della comunicazione; i controlli a campione sulle istanze ricevute (articolo 4, comma 2 del decreto 11 marzo 2022 n. 55); l?"accreditamento dei soggetti obbligati all?"adeguata verifica (articolo 6 del Decreto 11 marzo 2022 n. 55); la consultazione e l?"accesso alle informazioni del registro da parte dei soggetti autorizzati o portatori di legittimo interesse (articoli 5, 6 e 7 del Decreto 11 marzo 2022 n. 55). Va osservato che la sospensione prevista nelle more del giudizio riguarda l?"operatività del Registro dei Titolari Effettivi, mentre la comunicazione dei titolari effettivi e le variazioni circa la titolarità effettiva continuano ad essere consentite. In attesa di conoscere la pronuncia del Consiglio di Stato sopra ricordata quindi, le comunicazioni possono comunque essere inviate ed evase dalle Camere di Commercio: la relativa funzione è stata recentemente implementata sulla piattaforma DIRE).

The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
