Rendiconto di sostenibilità: gli amministratori non sono responsabili delle informazioni nella catena del valore


Assonime ha pubblicato un documento in cui vengono individuati i profili di maggior rilievo in sede di attuazione della nuova disciplina sulla rendicontazione societaria di sostenibilità, proponendo soluzioni normative auspicabili. La direttiva Ue 2022/2464 del 14 dicembre 2022 (che sostituisce la precedente direttiva 2014/95 sulla dichiarazione non finanziaria, recepita nel nostro ordinamento con il DLgs. 254/2016) ha introdotto una nuova disciplina in tema di informativa sulla sostenibilità, prevedendo un nuovo documento: il rendiconto di sostenibilità. Nella Relazione sulla gestione dovranno essere contenute le informazioni necessarie a comprendere l’impatto dell’attività d’impresa sui fattori di sostenibilità e a spiegare come gli stessi influenzino l’andamento, i risultati e la situazione dell’azienda. E’ stata ampliata la platea dei soggetti interessati dagli obblighi informativi e delle informazioni da fornire sulla base di standard europei, adottati dalla Commissione europea su proposta formulata dall’EFRAG, e le informazioni fornite saranno sottoposte a revisione. Innanzitutto Assonime interviene in merito ai due diversi ambiti di applicazione delle informazioni di sostenibilità: rendicontazione individuale di sostenibilità e rendicontazione consolidata. L’obbligo di redigere una rendicontazione individuale si applica alle imprese di grandi dimensioni e alle PMI (tranne le microimprese) con valori mobiliari negoziati su un mercato regolamentato, mentre l’obbligo di redigere una rendicontazione consolidata riguarda le imprese madri di un gruppo di grandi dimensioni, che si presuppone quindi non debbano pubblicare anche un rendiconto individuale. Assonime evidenzia, poi, come i principi di rendicontazione europei elaborati dall’EFRAG prevedano che il rendiconto sostenibilità contenga anche informazioni relative alle imprese che rientrano nella catena del valore, sulle quali l’azienda che redige il documento non ha un potere legale di verifica o di direttiva. Secondo Assonime occorrerebbe specificare che l’organo amministrativo non sia responsabile per le informazioni fornite dalle imprese delle catene del valore e dalle imprese non controllate che rientrano nel perimetro informativo del rendiconto e di prevedere che l’organo amministrativo debba omettere le informazioni irragionevoli fornite precisandone il motivo. Infine viene trattato l’obbligo relativo al rilascio, da parte di un soggetto esterno, di un’attestazione di conformità del rendiconto di sostenibilità. Secondo Assonime, in considerazione dell’ampliamento della platea dei soggetti obbligati e alla luce delle peculiarità delle informazioni fornite e delle professionalità richieste per eseguire questa forma di attestazione, sarebbe opportuno prevedere che l’attività possa essere esercitata dal revisore legale, da un altro revisore oppure ancora da un prestatore indipendente di servizi di attestazione, con un sistema di vigilanza in linea con quanto richiesto dalla direttiva.

  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
