CONCORDATO PREVENTIVO BIENNALE (CPB): CHIARIMENTI DELL?"AGENZIA ENTRATE SU CESSAZIONE E DECADENZA


In occasione di Telefisco 2025 l?"Agenzia Entrate ha fornito importanti chiarimenti sul Concordato Preventivo Biennale (CPB) e in particolare sulle cause di cessazione e decadenza in situazioni come successioni ereditarie, operazioni societarie e trasferimenti d?"azienda: Successione Ereditaria. In caso di morte dell?"imprenditore individuale aderente al CPB, il concordato cessa automaticamente, anche se gli eredi proseguono l?"attività. L?"Agenzia Entrate ha chiarito che il cambio di soggetto giuridico (art. 21, comma 1, lettera b, D.Lgs. n. 13/2024) determina l?"interruzione del rapporto contrattuale fiscale. Donazione. Durante il periodo concordatario anche il trasferimento gratuito dell?"azienda comporta la cessazione del CPB, in quanto si verifica una variazione soggettiva. Conferimenti. Le operazioni di conferimento (crediti, partecipazioni o liquidità) tra società aderenti al CPB provocano la cessazione bilaterale degli effetti (art. 21, comma 1, lettera b-ter, D.Lgs. n. 13/2024), indipendentemente dal ruolo di conferente/conferitario. Quindi i conferimenti nel primo anno impediscono l?"accesso al CPB (art. 11, comma 1, lettera b-quater, D.Lgs. n. 13/2024) e i conferimenti successivi all?"adesione comportano la decadenza dal CPB (art. 22, comma 1, lettera d, D.Lgs. n. 13/2024). Cessione di ramo d?"azienda. La cessione di ramo d?"azienda, sebbene non espressamente disciplinata, è considerata dall?"Agenzia Entrate equiparata ai conferimenti per alterazione della capacità reddituale (circolare n. 18/2024). L?"Agenzia ha altresì specificato che l?"entità del ramo ceduto è irrilevante e che la cessazione del CPB si verifica quindi anche in caso di cessioni minime. Ricordiamo che la decadenza dal CPB comporta l?"annullamento dei benefici accordati, tra cui l?"eventuale ravvedimento speciale, ma restano dovute le imposte e i contributi determinati tenendo conto del reddito concordato, se maggiore di quello effettivamente conseguito. Si raccomanda quindi la massima attenzione a porre in essere operazioni che potrebbero dar adito di essere interpretate dall?"Agenzia Entrate come causa di decadenza.
