STARTUP INNOVATIVE - DAL 22 GIUGNO ATTO COSTITUTIVO E STATUTO MODIFICABILI ONLINE CON FIRMA DIGITALE


A decorrere dal 22 giugno 2017, le start up innovative in forma di società a responsabilità limitata potranno modificare, tramite la piattaforma del Registro delle Imprese dedicata alle start up innovative, il proprio atto costitutivo e statuto online con firma digitale, senza l'intervento notarile. Gli atti modificativi dovranno essere trasmessi, completi di numero di registrazione, tramite una pratica di comunicazione unica, all'ufficio del registro delle imprese competente per territorio, entro 30 giorni dall'assemblea. La modifica sarà immediatamente operativa quando le firme saranno autenticate dall'ufficio assistenza qualificata alle imprese della Camera di Commercio. A stabilirlo è il decreto direttoriale 4 maggio 2017, che, in attuazione del decreto del Ministro dello Sviluppo economico del 28 ottobre 2016, consente alle Start-up innovative costituite online con firma digitale di modificare il proprio atto costitutivo e statuto utilizzando la stessa procedura semplificata. Il decreto, nel portare a completa attuazione quanto disposto dall'art. 4, comma 10-bis, del D.L. 3/2015, convertito dalla L. n. 33/2015 e dal decreto ministeriale 28 ottobre 2016, illustra le specifiche tecniche e le modalità di iscrizione delle modifiche agli atti costitutivi e statuti di startup innovative. Ricordiamo che già il decreto ministeriale 17 febbraio 2016, corroborato dal successivo decreto ministeriale 7 luglio 2016, aveva disciplinato la nuova modalità di costituzione, definendo le modalità di redazione degli atti costitutivi di società a responsabilità limitata in possesso dei requisiti di startup innovativa di cui all'art. 25 del decreto-legge 18 ottobre 2012, n. 179, convertito con modificazioni dalla legge 17 dicembre 2012, n. 221. Il successivo decreto ministeriale del 28 ottobre 2016 aveva poi esteso la nuova modalità digitale alle modifiche dell'atto costitutivo e dello statuto che la startup innovativa può mettere in atto successivamente alla propria costituzione. Per disciplinare le correlate specifiche tecniche era atteso ancora un provvedimento: proprio il decreto direttoriale pubblicato il 4 ottobre 2017. Al fine di consentire alle software house di adeguare i propri programmi alle disposizioni del decreto, è stato concesso che le disposizioni in esso contenute acquistassero efficacia a partire dal 22 giugno 2017.   • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
