NUOVA DIRETTIVA UE SU ALCUNI ASPETTI DI DIRITTO SOCIETARIO - ABROGATE SEI PRECEDENTI DIRETTIVE


E' stata pubblicata, sulla Gazzetta Ufficiale dell'Unione europea n. L 169/46 del 30 giugno 2017, la Direttiva (UE) 2017/1132 del Parlamento europeo e del Consiglio del 14 giugno 2017, relativo ad alcuni aspetti di diritto societario. A seguito delle numerose e sostanziali modifiche che nel tempo sono state apportate alle direttive 82/891/CEE e 89/666/CEE del Consiglio, e alle direttive 2005/56/CE, 2009/101/CE, 2011/35/UE e 2012/30/UE del Parlamento europeo e del Consiglio si è reso opportuno, ai fini di chiarezza e razionalizzazione, procedere alla loro codificazione con questa nuova direttiva, la quale stabilisce misure concernenti: il coordinamento delle garanzie che, a tutela degli interessi dei soci e dei terzi, sono richieste dagli Stati membri alle società, per quanto riguarda la costituzione di società per azioni, nonché la salvaguardia e le modifiche del capitale sociale delle stesse per rendere siffatte garanzie equivalenti, il coordinamento delle garanzie che, a tutela degli interessi dei soci e dei terzi, sono richieste dagli Stati membri alle società, per quanto riguarda la pubblicità, la validità degli obblighi di tali società, nonché la nullità delle società per azioni e delle società a responsabilità limitata, per rendere siffatte garanzie equivalenti, la pubblicità delle succursali create in uno Stato membro da taluni tipi di società soggette al diritto di un altro Stato, la fusione delle società per azioni, le fusioni transfrontaliere delle società di capitali, le scissioni delle società per azioni. Abrogate le direttive: 82/891/CEE del Consiglio del 17 dicembre 1982 basata sull'articolo 54, paragrafo 3, lettera g), del trattato e relativa alle scissioni delle società per azioni, 89/666/CEE del Consiglio del 21 dicembre 1989 relativa alla pubblicità delle succursali create in uno Stato membro da taluni tipi di società soggette al diritto di un altro Stato, 2005/56/CE del Parlamento europeo e del Consiglio, del 26 ottobre 2005, relativa alle fusioni transfrontaliere delle società di capitali, 2009/101/CE del Parlamento europeo e del Consiglio del 16 settembre 2009 intesa a coordinare, per renderle equivalenti, le garanzie che sono richieste, negli Stati membri, alle società a mente dell'articolo 48, secondo comma, del trattato per proteggere gli interessi dei soci e dei terzi, 2011/35/UE del Parlamento europeo e del Consiglio del 5 aprile 2011 relativa alle fusioni delle società per azioni e 2012/30/UE del Parlamento europeo e del Consiglio del 25 ottobre 2012 sul coordinamento delle garanzie che sono richieste, negli Stati membri, alle società di cui all'articolo 54, secondo paragrafo, del trattato sul funzionamento dell'Unione europea, per tutelare gli interessi dei soci e dei terzi per quanto riguarda la costituzione della società per azioni, nonché la salvaguardia e le modificazioni del capitale sociale della stessa. The data controller is Studio Dorighelli, who states that the data acquired in this manner will be handled as follows:

  • it will be used to comply with current requests for information/acquistion/registration until completed and for no other purpose.
  • it will be held in the company archives with no deadline, until independent cancellation by the user, voluntary cancellation by the Controller or an explicit request for cancellation by the user.
  • it will be held on behalf of the Controller by KUMBE, the Controller’s maintainer for digital services, on the cloud server and related backup, in turn managed in compliance with the GDPR for the entire term of the contract with the Controller – who may dispose of it at any time – and until its subsequent cancellation.
  • it will not be assigned to third parties; it will not be used for marketing campaigns except if concurrently authorized for such purposes.
  • the user will have a profile created based pon the information contained therein and the data may be used for statistical processing.
