RIFORMA SOCIETà PARTECIPATE - PUBBLICATO IL DECRETO INTEGRATIVO E CORRETTIVO DEL TESTO UNICO


E' stato pubblicato, sulla Gazzetta Ufficiale n. 147 del 26 giugno 2017, il Decreto-Legislativo 19 agosto 2017, n. 100, recante "Disposizioni integrative e correttive al decreto legislativo 19 agosto 2016, n. 175, recante testo unico in materia di società a partecipazione pubblica". Il provvedimento - in vigore dal 27 giugno 2017 - risponde a una duplice esigenza: da un lato, quella di dare completa attuazione alla legge delega n. 124/2015, che prevedeva la possibilità per il Governo di perfezionare il D.Lgs. n. 175/2016 attraverso decreti correttivi da adottare entro dodici mesi dalla data di entrata in vigore di quest'ultimo; dall'altro, quella di adeguamento alla recente sentenza della Corte Costituzionale n. 251/2016, con la quale è stata dichiarata l'illegittimità costituzionale delle legge delega (124/2015), nella parte in cui era ivi disciplinata la modalità procedurale di adozione dei decreti attuativi della riforma. In questa prospettiva è stato dunque adottato il D.Lgs. n. 100/2017, con cui, oltre a sanare il difetto procedurale rilevato dalla Corte, acquisendo l'intesa della Conferenza unificata sul testo di cui al D.Lgs. n. 175/2016, sono state introdotte alcune correzioni e integrazioni tese a migliorare la disciplina unica in materia di società partecipate, a distanza di circa un anno dalla sua entrata in vigore. Il decreto correttivo ha previsto, agli articoli 15, 16 e 17, la proroga, rispettivamente: del termine per la ricognizione delle partecipazioni pubbliche: viene prorogato al 30 settembre 2017 il termine entro il quale ciascuna amministrazione è tenuta ad effettuare la ricognizione delle partecipazioni possedute, ai fini della c.d. revisione straordinaria delle partecipazioni prevista all'art. 24 del Testo Unico (art. 15, recante modifiche all'art. 24 del D.Lgs. n. 175/2016); del termine per la ricognizione del personale: viene prorogato al 30 settembre 2017 il termine entro il quale ciascuna società a controllo pubblico è tenuta ad effettuare la ricognizione del personale in servizio, per individuare eventuali eccedenze e dare attuazione a quanto previsto dall'art. 25 del Testo Unico (art. 16, recante modifiche all'art. 25 del D.Lgs. n. 175/2016); del termine di adeguamento degli statuti delle società a controllo pubblico: viene prorogato al 31 luglio 2017 il termine entro il quale le società a controllo pubblico hanno l'onere di adeguare i propri statuti alle disposizioni introdotte con il Testo Unico di cui al D.Lgs. n. 175/2016 (art. 17, recante modifiche all'art. 26 del D.Llgs. n. 175/2016). Modificato l'art. 11 sugli organi amministrativi delle società partecipate: il nuovo comma 3 prevede che l'assemblea della società a controllo pubblico, con delibera motivata con riguardo a specifiche ragioni di adeguatezza organizzativa e tenendo conto delle esigenze di contenimento dei costi, può disporre che la società sia amministrata da un consiglio di amministrazione composto da tre o cinque membri, ovvero che sia adottato uno dei sistemi alternativi di amministrazione e controllo» di cui agli artt. 2409-octies ss.
